Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you ("you" or the "User") and Crosspoint Company S.A., a company organized under the laws of the Republic of Panama ("Crosspoint", "we", "us"), governing your access to and use of the Dara mobile application, web application, browser extension, websites at dara.fi and related subdomains, and any related software, APIs, content and services (collectively, the "Services").

By installing, accessing or using the Services, you accept these Terms. If you do not agree, do not install or use the Services.

1. Nature of the Services — Non-Custodial Wallet

Dara is a non-custodial self-hosted wallet application. The Services let you generate, import and manage cryptographic key material on your device, sign transactions on supported blockchain networks, view balances and on-chain history, interact with third-party decentralized applications via WalletConnect, and route transactions through fee-abstraction relayers and exchange aggregators.

  • You — and only you — control the private keys, seed phrases and other secrets that authorize transfers from your wallet addresses.
  • Crosspoint does not custody, hold, control or have access to your assets, private keys or seed phrase at any time.
  • Crosspoint cannot reverse, cancel, recall, freeze or refund any transaction you sign and broadcast.
  • If you lose your seed phrase, lose access to your device, or share your seed phrase with a third party, we cannot recover your wallet or your funds. There is no "forgot password" for self-custody.
  • Dara is software, not a financial institution, exchange, broker, money transmitter or custodian. We do not hold deposits and we do not guarantee execution.

2. Eligibility

To use the Services you must (a) be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction; (b) not be a resident, citizen or located in any country, territory or region subject to comprehensive sanctions administered by the United Nations, the European Union, the United States Office of Foreign Assets Control (OFAC), the United Kingdom or the Republic of Panama (currently including but not limited to Cuba, Iran, North Korea, Syria, the Crimea, Donetsk and Luhansk regions of Ukraine); (c) not be listed on any sanctions, denied parties, terrorist or politically prohibited list maintained by the foregoing authorities; and (d) not use the Services in violation of any applicable law.

3. Your Wallet, Your Responsibility

When you create or import a wallet, the Services generate or accept a BIP-39 mnemonic seed phrase and derived private keys, which are stored on your device using the operating system's secure storage (iOS Keychain / Secure Enclave, Android Keystore) and, where available, protected by your device passcode and biometric authentication (Face ID, Touch ID, fingerprint, passkey). Optionally, you may enable encrypted cloud backup of your seed phrase, protected with a password that only you know.

You are solely responsible for:

  • Recording your seed phrase securely and offline. Anyone with your seed phrase can take your assets.
  • Protecting the device on which the wallet is installed, including up-to-date OS, screen lock, and avoiding jailbroken or rooted devices.
  • Verifying the recipient address, network, asset and amount before signing any transaction. Blockchain transactions are irreversible.
  • Maintaining the password used for any optional encrypted backup. We cannot reset, recover or override it.

4. Supported Networks and Assets

The Services support multiple public blockchain networks, which currently include Ethereum and EVM-compatible networks (such as Base, Arbitrum, Optimism, Polygon, BNB Chain, Avalanche, zkSync, Linea, Scroll), Bitcoin, Solana, Tron, Litecoin, Dash and Stellar, as well as fungible and non-fungible tokens issued on those networks. The list of supported networks and assets is determined at our discretion and may change. Sending an unsupported asset, or sending an asset to an address on the wrong network, may result in permanent loss.

5. Fee Abstraction and Intent Routing

Dara may offer a meta-transaction relayer that lets you pay network gas in the asset you are sending (for example, paying gas in USDC instead of native ETH or SOL). When you use this feature, you sign a structured intent message and authorize a relayer to (i) front the native gas in order to broadcast your transaction, and (ii) atomically deduct an equivalent amount, plus a quoted relayer margin, from the asset being sent. The relayer never gains custody of your remaining balance: if it fails to execute as quoted, the transaction does not settle.

Cross-chain and swap transactions may be routed through third-party bridges, AMMs and aggregators. Quoted output amounts, slippage and routes are estimates that depend on real-time market conditions and third-party performance. Crosspoint does not guarantee the success, speed, price or final settlement of any routed transaction.

6. Third-Party Services

The Services interoperate with independent third parties, including but not limited to: blockchain RPC and indexer providers; the WalletConnect protocol and any decentralized application ("dApp") you connect to; hardware wallet manufacturers (such as Ledger) accessed over Bluetooth Low Energy; social-login authentication via Web3Auth; fiat on-ramp and off-ramp providers; KYC/AML providers operated by those on/off-ramp partners; analytics, crash-reporting and push-notification providers (such as Firebase Cloud Messaging); and third-party bridges, swap routers and DEX aggregators.

Your use of any third-party service is governed by that third party's own terms and privacy policy. Crosspoint does not control and is not responsible for the availability, content, conduct, fees, KYC outcome or asset handling of any third party. Where a third party requires identity verification (for example, fiat on-ramps), you transact directly with that third party and any personal data you submit to them is handled under their privacy policy, not ours.

7. Fees

Crosspoint does not charge a subscription fee for the wallet itself. Specific actions may incur (a) network fees paid to validators or miners of the underlying blockchain, (b) relayer or routing margins disclosed in the transaction preview before you sign, and (c) third-party provider fees (for example, on-ramp provider fees). All fees applicable to a specific transaction will be displayed in the application before you confirm.

8. Prohibited Use

You agree that you will not, and will not attempt to:

  • Use the Services in violation of any applicable law, regulation or sanctions program, including AML, counter-terrorism financing, tax, securities, derivatives, gaming or consumer-protection laws;
  • Use the Services to launder proceeds of crime, finance terrorism, evade sanctions, defraud any person, or interact with mixers, tumblers or addresses associated with illicit activity;
  • Engage in market manipulation, wash trading, fraud, theft or unauthorized access of any third-party system or wallet;
  • Reverse-engineer, decompile, tamper with or attempt to extract proprietary keys, secrets or signing material from the Services, except to the extent this restriction is prohibited by applicable law;
  • Use the Services to develop or distribute malware, phishing tools or wallet-draining contracts;
  • Attempt to disable, bypass or interfere with security features such as jailbreak/root detection, SSL pinning, screen-capture protection or biometric gating;
  • Use any automated means to scrape, abuse or overload the Services or our infrastructure providers;
  • Resell, sublicense, white-label or commercially redistribute the Services without our prior written consent.

9. Risks You Accept

You acknowledge that crypto-asset technology is novel and carries material risks, including:

  • Price volatility. Crypto-asset prices can fluctuate significantly and may go to zero.
  • Irreversibility. Blockchain transactions cannot be reversed once confirmed.
  • Smart contract risk. Bugs, exploits or malicious upgrades in smart contracts you interact with may result in loss.
  • Counterparty risk. Bridges, AMMs, dApps and on/off-ramps you interact with through Dara are operated by third parties who may fail, be hacked, or refuse to honor obligations.
  • Network risk. Forks, congestion, MEV, validator failure or 51% attacks may delay, reorder or invalidate transactions.
  • Regulatory risk. Laws governing crypto-assets are evolving. Future regulation may restrict or prohibit your activities.
  • Phishing and social engineering. Fake websites, malicious dApps, signature requests and customer-service impostors target wallet users. Crosspoint will never ask for your seed phrase or private key.
  • Loss of access. Loss of your device combined with loss of your seed phrase is unrecoverable.

You assume all such risks. Do not store more value in the wallet than you can afford to lose.

10. Intellectual Property; License

Crosspoint and its licensors own all right, title and interest in and to the Services, including the Dara name, brand, application, source code, designs, documentation and content (excluding open-source components, which remain subject to their respective licenses). Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Services for your own non-commercial use. No other rights are granted by implication or estoppel.

11. Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation or freedom from defects. Crosspoint does not warrant that any blockchain network, third-party service or relayer will be available, secure or error-free, that any transaction will settle in any particular time, or that any quoted price, fee or route will be honored by the underlying network. Nothing in the Services constitutes financial, investment, tax, legal or accounting advice.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Crosspoint, its affiliates, officers, directors, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenue, data, goodwill, crypto-assets, business opportunity, or use, whether based in contract, tort (including negligence), strict liability or any other legal theory, even if advised of the possibility of such damages. The aggregate liability of Crosspoint and its affiliates for all claims arising out of or relating to the Services in any twelve-month period will not exceed the greater of (i) the fees you paid directly to Crosspoint in that period or (ii) one hundred United States dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions the foregoing limitations apply to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless Crosspoint and its affiliates, officers, directors, employees and agents from and against any claim, loss, liability, damage, cost or expense (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Services, (b) your violation of these Terms or any applicable law, (c) any transaction you initiate or sign, (d) your interaction with any third-party service, and (e) any content or instruction you submit to or through the Services.

14. Modifications; Service Changes

We may update these Terms from time to time. The updated version will be posted with a new "Last updated" date. Material changes will be highlighted in-app or by email to addresses you have given us. Continued use of the Services after the effective date of an update constitutes acceptance of the updated Terms. We may also add, modify, suspend or discontinue any feature, supported network or third-party integration at any time without liability.

15. Termination

You may stop using the Services at any time by uninstalling the application. We may suspend or terminate your access if we believe you have violated these Terms, have engaged in unlawful activity, or where required by law or by a third-party provider. Because Dara is non-custodial, termination does not affect your ability to access your funds using your seed phrase in any other compatible wallet. Sections 1, 3, 6, 8–13, 16 and 17 survive termination.

16. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the Republic of Panama, without regard to conflict-of-law principles. Any dispute that cannot be resolved by good-faith negotiation within 30 days of written notice will be finally resolved by binding arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CeCAP) in Panama City, in the English language, before a single arbitrator, in accordance with its rules in force at the time of the request. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive or equitable relief in a court of competent jurisdiction in Panama City to protect intellectual-property rights or confidential information. To the extent permitted by applicable law, claims may only be brought on an individual basis and not as part of any class, consolidated or representative proceeding.

17. Miscellaneous

These Terms, together with the Privacy Policy and any in-app notices we provide, constitute the entire agreement between you and Crosspoint regarding the Services and supersede any prior agreement on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets.
